These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and US Apostille Specialists LLC (“Company,” “we,” “us,” or “our”) concerning your access to and use of https://usapostillespecialists.com/, any related website, portal, form, email communication, payment page, or other service that links to these Terms, and all apostille, authentication, legalization, translation, document preparation, document retrieval, courier coordination, and related services that we provide (collectively, the “Services”).
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES. By accessing the Services, submitting an inquiry, placing an order, sending us documents, authorizing payment, or otherwise engaging us, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.
If you use the Services on behalf of a company, organization, trust, estate, government body, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” includes both you and the entity.
TABLE OF CONTENTS
1. ACCEPTANCE OF THESE TERMS
These Terms apply to all visitors, customers, prospective customers, representatives, agents, and other persons who access or use the Services. Your use of any part of the Services constitutes acceptance of these Terms in their entirety.
Additional written terms may apply to a particular order, expedited service, enterprise engagement, translation project, document-retrieval request, or other specialized service. If an authorized representative of the Company provides additional written terms, those additional terms are incorporated into these Terms. If there is a direct conflict, the order-specific written terms control only for that order.
2. ELIGIBILITY AND AUTHORITY
You must be at least eighteen (18) years old and legally capable of entering into a binding contract to use the Services. By using the Services, you represent and warrant that you satisfy these requirements.
You may submit documents or instructions for another person only if you are legally authorized to do so. We may request proof of authority, identity, relationship, consent, or ownership at any time. We may refuse or suspend service when authority is unclear or disputed.
3. DESCRIPTION AND SCOPE OF SERVICES
We provide administrative document-processing and coordination services, which may include apostille procurement, authentication, embassy or consular legalization coordination, certified or professional translation coordination, notarization coordination, document retrieval, document preparation support, courier coordination, status updates, and related services.
The precise scope of each engagement is limited to the Services stated in the applicable quote, invoice, checkout page, order confirmation, email, or other written communication from us. Unless expressly agreed in writing, our Services do not include legal representation, legal opinions, document drafting by an attorney, immigration representation, tax advice, or a guarantee that any document will be accepted for a particular legal or commercial purpose.
We may use employees, contractors, notaries, translators, couriers, filing agents, government runners, or other qualified service providers to perform parts of the Services.
4. NO LEGAL, IMMIGRATION, TAX, OR GOVERNMENT ADVICE
US Apostille Specialists LLC is a document-services company and is not a law firm, government agency, embassy, consulate, court, Secretary of State office, or immigration authority. Nothing on the website or in our communications constitutes legal, immigration, tax, accounting, or governmental advice.
Information we provide about document requirements, procedures, processing times, or destination-country practices is general administrative information and may change without notice. You are responsible for obtaining advice from a licensed attorney or other qualified professional when your matter requires professional advice.
5. CUSTOMER RESPONSIBILITIES
You are responsible for providing complete, accurate, current, and lawful information, documents, names, dates, spellings, addresses, signatures, notarizations, certifications, translations, destination-country details, and intended-use information.
You must review all order details, drafts, translations, labels, shipping information, and instructions before approval. We are not responsible for errors or delays caused by inaccurate, incomplete, inconsistent, illegible, expired, altered, improperly executed, or otherwise deficient materials supplied by you or a third party acting for you.
You are responsible for determining the exact authentication or legalization chain required by the receiving institution, foreign authority, employer, school, bank, court, immigration authority, or other recipient. You should verify requirements directly with the final receiving party before placing an order.
You must promptly respond to requests for clarification, replacement documents, signatures, approvals, payment, or additional information. Any delay in your response may extend processing times.
6. DOCUMENT SUBMISSION, REVIEW, AND HANDLING
You may submit original documents, certified copies, notarized copies, electronic copies, scans, or other records only when you have the legal right and authority to do so. You represent that submitted documents are authentic, unaltered except as lawfully permitted, and not submitted for fraudulent, deceptive, or unlawful purposes.
Our review is administrative and limited. We may identify obvious issues, but we do not guarantee that we will detect every defect, inconsistency, forgery, omission, or legal deficiency. Government authorities and final recipients make their own independent determinations.
We may refuse to handle documents that appear suspicious, unlawful, unsafe, materially damaged, incomplete, or inconsistent, or that create compliance, reputational, fraud, sanctions, or security concerns.
You should retain copies of all documents before sending originals. Although we use reasonable care, original documents may be exposed to risks inherent in mailing, courier handling, government processing, third-party custody, natural disasters, theft, damage, or loss.
7. ORDERS, QUOTES, AND ACCEPTANCE
A request for service is not accepted until we confirm acceptance, receive required documents and information, and receive cleared payment when payment is required in advance. We may decline any order in our discretion, subject to applicable law.
Quotes are based on the information available when issued and may expire on the date stated or, if no expiration is stated, after fourteen (14) days. We may revise a quote if requirements, government fees, courier rates, document counts, jurisdictions, service levels, or other material facts change.
You must review each invoice or order confirmation promptly. Unless you notify us of an error before work begins, the invoice or order confirmation will be treated as accurately reflecting your requested Services.
8. FEES, PAYMENT, TAXES, AND CHARGEBACKS
You agree to pay all service fees, government fees, embassy or consular fees, notary fees, translation fees, courier charges, shipping charges, taxes, duties, bank fees, foreign-exchange charges, and other amounts shown or reasonably incurred for your order.
Government, embassy, consular, courier, and third-party fees may change without notice. If a fee changes after your order is placed, we may require payment of the difference before continuing.
Payments are due when stated on the invoice or checkout page. We may pause work, retain documents to the extent permitted by law, or cancel an order for nonpayment.
You agree not to initiate a chargeback or payment dispute without first contacting us and allowing a reasonable opportunity to investigate. Filing an improper chargeback does not eliminate your payment obligations, and you may be responsible for reasonable collection costs and chargeback fees to the extent permitted by law.
9. PROCESSING TIMES AND ESTIMATES
All processing and delivery times are estimates only, measured from the time we have received cleared payment, complete and acceptable documents, all required information, and any necessary approvals.
Business-day estimates exclude weekends, federal and state holidays, foreign holidays, government closures, embassy closures, courier disruptions, weather events, and other non-processing days.
Expedited, rush, same-day, next-day, or priority service means that we will prioritize the order according to the service purchased; it does not guarantee completion by a particular date unless we expressly provide a written guarantee signed by an authorized representative.
You should not book travel, schedule closings, commit to filing deadlines, promise delivery to third parties, or make nonrefundable arrangements based solely on an estimated completion date.
10. GOVERNMENT AND THIRD-PARTY AUTHORITIES
Apostilles, authentications, certifications, legalizations, visas, consular acts, and related determinations are issued or controlled by independent government or third-party authorities. We do not control their decisions, requirements, staffing, systems, appointment availability, fees, hours, security procedures, backlogs, or processing times.
An authority may reject, suspend, investigate, request additional evidence, change procedures, or refuse a document for reasons outside our control. We do not guarantee issuance, acceptance, or a particular outcome.
Government seals, certificates, ribbons, staples, grommets, stamps, attachments, or covers must not be removed, altered, detached, or rearranged. We are not responsible for invalidation caused by anyone after delivery.
11. SHIPPING, COURIERS, AND DELIVERY
Shipping and courier services are performed by independent third parties. Tracking information, delivery dates, signatures, insurance limits, customs processing, and claims are governed by the carrier’s terms.
You are responsible for providing a complete and accurate delivery address, recipient name, telephone number, access instructions, and any customs information. We are not responsible for delays, returns, losses, theft, misdelivery, customs holds, or damage caused by an incorrect or incomplete address or by a carrier or customs authority.
Risk of loss during shipment passes as permitted by applicable law and the carrier’s terms. Where available, additional insurance may be purchased upon request before shipment. Our liability for documents lost or damaged while in a third party’s custody is subject to the limitations in these Terms.
If a package is returned, refused, unclaimed, or undeliverable, you are responsible for reshipping and related costs.
12. INTERNATIONAL USE AND DESTINATION-COUNTRY REQUIREMENTS
Requirements differ by country, authority, institution, document type, issuing jurisdiction, intended use, and date. Foreign authorities may require additional translations, certifications, notarizations, embassy legalization, consular registration, local filings, or other steps not included in your original order.
You are responsible for confirming the current requirements of the final recipient. We may provide guidance based on available information, but we do not warrant that a foreign authority or private recipient will accept a document.
You agree not to use the Services in violation of export controls, sanctions, anti-money-laundering laws, anti-bribery laws, or other applicable laws. We may screen orders and refuse service when legally required or when compliance concerns arise.
13. TRANSLATION AND RELATED SERVICES
Translation services may be performed by independent translators. Unless expressly stated, a translation is not a legal opinion and does not certify the truth, validity, or legal effect of the source document.
You must review names, numbers, dates, places, technical terminology, formatting, and other critical details. Requests for correction must be submitted promptly and must identify the alleged error. Preference changes or revisions to the source text are not translation errors and may require additional fees.
Certification, notarization, sworn translation, court certification, or acceptance requirements vary by recipient. You are responsible for confirming the required format before ordering.
14. CANCELLATIONS, CHANGES, REFUNDS, AND CREDITS
You may request cancellation or modification by contacting us in writing. A request is not effective until we confirm it.
Because work may begin immediately and because many costs are paid to governments, embassies, notaries, translators, couriers, and other third parties, fees become nonrefundable as they are earned or incurred. Government fees, embassy fees, consular fees, completed work, rush fees, translation work, document-retrieval fees, shipping charges, and third-party costs are generally nonrefundable once paid or initiated.
If we approve a refund, it will be limited to the unearned portion of our service fee after deducting completed work, administrative time, payment-processing fees, and nonrecoverable costs, except where applicable law requires otherwise.
Changes to jurisdiction, destination country, document type, service level, quantity, shipping method, or customer instructions may require a revised quote and additional processing time.
15. REJECTIONS, DEFICIENCIES, AND REPROCESSING
A rejection by a government office or recipient does not by itself establish that we breached these Terms. Rejections may result from document defects, execution errors, changing requirements, recipient policies, suspected fraud, missing authority, stale documents, unsupported notarizations, or other matters outside our control.
If a rejection results solely from our documented processing error, our obligation will be limited, at our option, to correcting and reprocessing the affected service without an additional Company service fee or refunding the Company service fee paid for that affected service. Government fees, courier fees, third-party fees, consequential losses, and customer-caused costs remain excluded to the maximum extent permitted by law.
If reprocessing is required because of customer error, third-party error, changed requirements, expired documents, or an authority’s discretionary decision, additional fees will apply.
16. ELECTRONIC COMMUNICATIONS AND CUSTOMER INSTRUCTIONS
You consent to receive communications electronically, including quotes, invoices, notices, approvals, status updates, requests, disclosures, and records by email, website, portal, text message when provided, or other electronic means.
You are responsible for monitoring the email address and contact information provided to us, including spam or junk folders. A communication is considered received when sent to the contact information you supplied, unless applicable law requires otherwise.
We may rely on instructions that reasonably appear to come from you or your authorized representative. You are responsible for maintaining the security of your email account, devices, order numbers, passwords, and payment information.
17. ACCEPTABLE USE AND PROHIBITED CONDUCT
You may not use the Services to commit fraud, misrepresent identity or authority, evade law enforcement, launder money, conceal beneficial ownership, facilitate bribery, violate sanctions, falsify records, infringe rights, submit forged or altered documents, harass others, distribute malware, interfere with the website, scrape data without authorization, or engage in unlawful conduct.
You may not falsely represent that we are a government agency, law firm, embassy, or consulate, or use our name, marks, documents, or communications to mislead another person.
We may investigate suspected misuse, preserve records, cooperate with lawful requests, and report suspected unlawful conduct to relevant authorities.
18. INTELLECTUAL PROPERTY RIGHTS
The website, branding, logos, text, graphics, layouts, forms, databases, processes, software, and other content provided by us are owned by or licensed to US Apostille Specialists LLC and are protected by intellectual-property laws.
Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access the website and use the Services for your personal or internal business purposes. You may not copy, reproduce, republish, sell, license, reverse engineer, create derivative works from, or commercially exploit our content without prior written permission.
You retain ownership of documents and content you lawfully submit. You grant us a limited license to access, copy, transmit, translate, format, store, and disclose that content as reasonably necessary to perform the Services, comply with law, protect rights, and maintain business records.
19. THIRD-PARTY WEBSITES, PROVIDERS, AND SERVICES
The Services may link to or depend on third-party websites, payment processors, couriers, government portals, translators, notaries, cloud providers, and other services. We do not control and are not responsible for third-party content, availability, security, privacy practices, errors, outages, or conduct.
Your use of third-party services may be governed by separate terms. You are responsible for reviewing those terms.
20. PRIVACY AND INFORMATION SECURITY
Our collection and use of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.
You acknowledge that document services may require us to transmit personal information and copies of documents to government offices, embassies, consulates, notaries, translators, couriers, payment processors, contractors, and other parties involved in completing your order, including parties located in other jurisdictions.
We use reasonable administrative, technical, and organizational safeguards, but no transmission or storage system can be guaranteed to be completely secure.
21. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AND RESULTS.
WE DO NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY GOVERNMENT, EMBASSY, CONSULATE, COURT, SCHOOL, EMPLOYER, BANK, FOREIGN AUTHORITY, OR OTHER RECIPIENT WILL ISSUE, RECOGNIZE, OR ACCEPT A DOCUMENT.
Some jurisdictions do not allow certain warranty disclaimers, so some of the foregoing may not apply to you.
22. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, US APOSTILLE SPECIALISTS LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OPPORTUNITY, REPUTATION, OR USE; TRAVEL COSTS; MISSED DEADLINES; IMMIGRATION CONSEQUENCES; LOST TRANSACTIONS; OR THIRD-PARTY CLAIMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR ORDER WILL NOT EXCEED THE COMPANY SERVICE FEES ACTUALLY PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM during the six (6) months preceding the event giving rise to liability. Government fees, shipping charges, third-party fees, taxes, and pass-through costs are excluded from that calculation.
The limitations in this section apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not apply to liability that cannot lawfully be limited or excluded.
23. INDEMNIFICATION
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless US Apostille Specialists LLC and its owners, officers, employees, contractors, agents, affiliates, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your submitted documents, your instructions, your misuse of the Services, your violation of these Terms or law, your infringement of third-party rights, or your fraud, negligence, or willful misconduct.
We may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate.
24. FORCE MAJEURE
We are not responsible for delay, interruption, loss, or failure caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, earthquake, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, government action, office closures, changes in law or procedure, sanctions, power failure, internet outage, cyberattack, transportation disruption, carrier failure, customs action, supply shortages, or failure of a government or third-party system.
Performance will be excused for the duration and extent of the force-majeure event.
25. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and any dispute arising from them or the Services will be governed by the laws of the jurisdiction in which US Apostille Specialists LLC maintains its principal place of business, without regard to conflict-of-laws principles, except to the extent federal law applies or applicable consumer law requires otherwise.
Before filing a formal claim, you agree to send a written notice describing the dispute and requested resolution to [email protected] and allow at least thirty (30) days for good-faith informal resolution.
Unless applicable law requires another forum, any legal proceeding must be brought in a court of competent jurisdiction located in the county and state of our principal place of business, and each party consents to personal jurisdiction and venue there.
YOU AND THE COMPANY WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW. Claims must be brought individually and not as a plaintiff or class member in a class, collective, consolidated, or representative action, to the extent such waiver is enforceable.
26. SUSPENSION AND TERMINATION
We may suspend, refuse, or terminate access to the Services or cancel an order if you violate these Terms, fail to pay, provide misleading information, submit suspicious documents, create legal or compliance risk, abuse personnel, misuse the website, or if continuing the engagement is unlawful or impracticable.
Termination does not affect accrued rights, earned fees, incurred costs, payment obligations, confidentiality obligations, intellectual-property rights, limitations of liability, indemnification, dispute provisions, or other provisions that by their nature should survive.
27. CHANGES TO THESE TERMS AND SERVICES
We may update these Terms from time to time. The updated version will be indicated by a revised “Last updated” date and will become effective when posted, unless a later date is stated or applicable law requires additional notice.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms. Material changes will not retroactively reduce rights for an already accepted order where prohibited by law.
We may modify, suspend, discontinue, or restrict any feature or Service, subject to our obligations for accepted and paid orders.
28. GENERAL PROVISIONS
These Terms, the Privacy Policy, the applicable invoice or order confirmation, and any written order-specific terms constitute the entire agreement between you and us concerning the Services and supersede prior discussions relating to the same subject matter.
If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
Our failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.
You may not assign or transfer your rights or obligations without our prior written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or transfer of business operations.
Headings are for convenience only. Words such as “including” mean “including without limitation.” Electronic records and signatures are deemed original and enforceable to the extent permitted by law.
No agency, partnership, joint venture, employment, fiduciary, or franchise relationship is created by these Terms.
